1. Terms of Use

These Terms of Use ("Terms") and additional policies (including but not limited to the Cancellation & Refund Policy, Privacy Policy, and Take Down Policy) govern your use of the Butterfly Delivers platform, which includes:

• The website www.butterflydelivers.com ("Website").
• The Butterfly Delivers mobile application ("App").

Collectively, the Website and App are referred to as the "Platform."

By downloading, installing, or using the Platform, you accept these Terms and related policies, which constitute a legally binding agreement effective from the date you first use the Platform.

Butterfly Delivers is operated by Butterfly Delivers, powered by Gen2k Conglomerate, located in Kilakarai, Tamil Nadu, India. Terms such as "you," "user," or "User" refer to individuals or entities registering or transacting on the Platform. "Butterfly Delivers," "we," "us," or "our" refers to Butterfly Delivers and its parent entity, Gen2k Conglomerate.

Services Offered:

• Food and Grocery Delivery: Seamless ordering from restaurants, stores, and grocery outlets.
• E-Commerce: Access to various products from partnered retailers.
• Travel Services: Assistance with travel bookings, accommodations, and transport.
• Home Services: On-demand solutions for repairs, maintenance, and household tasks.
• Event Planning: Coordination for personal and corporate events, including catering, decor, and logistics.

Users ("Buyers") can place orders ("Orders") for products and services offered by participating merchants ("Merchants"). Additionally, Buyers may request specific tasks ("Tasks") within our service scope.

Butterfly Delivers acts as an intermediary connecting Buyers, Merchants, and delivery partners ("PDPs") to fulfill Orders and Tasks.

2. Delivery Partners (PDPs)

Delivery Partners (PDPs) are independent entrepreneurs associated with Butterfly Delivers on a non-exclusive basis. PDPs are not employees or agents of Butterfly Delivers. They provide pick-up, delivery, and task services for a service fee determined by factors like distance, demand, and seasonal conditions.

Key Acknowledgments:

• The relationship between Butterfly Delivers and PDPs is independent, not employer-employee.
• Service fees charged by PDPs are inclusive of applicable taxes unless stated otherwise.

3. Scope of Services

Butterfly Delivers provides the following services:

• Food and Grocery Delivery: Order and delivery services from restaurants, stores, and groceries.
• E-Commerce: A wide range of products from partner retailers.
• Travel Services: Booking for travel-related needs like tickets, stays, and local transport.
• Home Services: Maintenance, repairs, and other household assistance.
• Event Planning: Comprehensive event management for personal and corporate events.

Availability of services is location-specific and may vary.

By continuing to use the Butterfly Delivers Platform, you agree to these Terms and referenced policies. Please review these Terms regularly for updates.

4. Account Registration and Eligibility

Access to the Platform

• Butterfly Delivers offers access to its platform through two main methods:
  • Account Registration: You can create a Butterfly Delivers account ("Account") to become a member ("Membership") and access our wide range of services including food delivery, grocery delivery, e-commerce, travel services, home services, and event planning.
  • Social Network Login: You can log in using third-party social networking sites ("SNS") such as Facebook. Each SNS login is referred to as a "Third-Party Account."
• Membership is non-transferable and governed by Butterfly Delivers policies. The account is for your personal use only.
• To link your Butterfly Delivers account with an SNS, you must:
  • Provide your SNS login credentials through our secure platform.
  • Grant Butterfly Delivers permission to access your SNS account, as allowed under its terms and conditions.
• By linking an SNS account, you confirm that:
  • You are authorized to share your credentials without violating SNS policies.
  • Butterfly Delivers is not obligated to bear any fees or usage limitations imposed by the SNS.
• If SNS access is terminated, content from your SNS ("SNS Content") will no longer be available on your Butterfly Delivers account.
• Users are limited to one Butterfly Delivers account. Creating multiple accounts may lead to suspension or termination.

Eligibility Criteria

• Only individuals deemed competent to contract under the Indian Contract Act, 1872, may use our platform. This excludes minors, un-discharged insolvents, and others deemed legally incapable of entering contracts.
• Users under 18 years must obtain consent from a parent or legal guardian to access the platform. Without such consent, they must discontinue usage immediately.
• Failure to meet eligibility criteria may result in the suspension or termination of your account and services.

Account Security

• It is your responsibility to maintain the confidentiality of your login credentials, including user ID and password.
• You are accountable for all activities carried out under your account, whether authorized or unauthorized.
• Notify Butterfly Delivers immediately of any unauthorized access or security breach.
• Non-compliance with these security guidelines may result in the suspension of your account.

Service Availability

• Our services are currently available only in designated regions. Accessing the platform outside these regions is at your own risk.
• Ensure compliance with local laws when accessing our platform or services from outside supported regions.

User Responsibilities

• Provide accurate, current, and complete information during account registration and update it as necessary.
• Bear all costs associated with accessing and using the platform, including internet and telecommunications expenses.
• Use the platform solely for personal purposes. Resale or use as an agent for third parties is prohibited.
• Accounts may be suspended or terminated for:
  • Providing false or incomplete registration information.
  • Engaging in activities that create legal liabilities for you, other users, or Butterfly Delivers.
  • Non-compliance with Butterfly Delivers policies or Terms of Use.

6. Use of Platform and Services

At Butterfly Delivers, powered by Gen2k Conglomerate, we aim to provide a seamless platform that connects users with merchants and service providers across various categories, including Food and Grocery Delivery, E-Commerce, Travel Services, Home Services, and Event Planning. We act as a facilitator, ensuring smooth communication and interactions between buyers, merchants, and service providers.

Buyer and Merchant Interactions

• All terms related to products and services—including pricing, quality, payment methods, and delivery schedules—are determined by the buyers and merchants.
• Butterfly Delivers does not influence these agreements but facilitates the transaction.
• Merchants independently determine the pricing and other commercial aspects of their products or services.

Role in Delivery and Task Services

• When an order or task is accepted by one of our delivery partners (PDPs), it constitutes a direct agreement between the buyer/merchant and the delivery partner.
• Butterfly Delivers facilitates the connection and offers support services, including:
  • Coordination of order fulfillment.
  • Facilitation of payment processes.
  • Customer support to address inquiries and concerns.

Commitment to Quality and Resolution

• Butterfly Delivers does not control the quality, value, or availability of products and services offered by merchants or delivery partners.
• We assist buyers and merchants by:
  • Notifying merchants or service providers about complaints.
  • Sharing relevant information to facilitate issue resolution.
  • Providing customer support to guide users towards satisfactory solutions.

Marketplace Facilitation

• Butterfly Delivers acts as a communication platform and marketplace for connecting buyers, merchants, and delivery partners.
• We do not stock or manage the products or services listed by merchants, nor do we directly provide the services offered by our delivery partners.

Assisting with Complaints

• If issues arise concerning product quality, delivery services, or other service deficiencies, Butterfly Delivers will:
  • Notify the relevant merchant or delivery partner.
  • Work with all parties to facilitate a resolution.
  • Share contact details and order information to aid in resolving the matter.

7. Obligations Pertaining to Usage of the Butterfly Delivers Platform

Accuracy of Information

You confirm that all registration details you provide (including your name, email address, and other contact details) are accurate, truthful, and up-to-date. You agree to maintain the accuracy of this information at all times. It is your responsibility to ensure that any changes to your personal or business information are promptly updated within your account settings. Misleading or false information may result in the termination of your access to the platform.

Use for Personal and Non-Commercial Purposes

The Butterfly Delivers platform is strictly for personal, non-commercial use. You are solely responsible for the activity that occurs on your account and all interactions, content, or services facilitated through it. You must not share your account or login credentials with any third party or allow others to use your account. You are the sole authority for any content published or transmitted via your account, including but not limited to messages, posts, and interactions with other users. You must comply with all applicable local, state, national, and international laws, including those related to data privacy, digital communications, and the transmission of technical or personal data.

Ownership and Permissions for Content

You affirm that you possess all necessary rights, licenses, permissions, and consents required to use, submit, post, or otherwise make available any content (including but not limited to text, images, videos, trademarks, or other intellectual property) on the Butterfly Delivers platform. Furthermore, you confirm that no external payments, permissions, or authorizations are needed from any other individual or entity for the use of such content. This includes ensuring you hold rights to all copyrighted materials, patents, trade secrets, publicity rights, and any other proprietary rights relevant to your submissions.

Commercial Activities and Advertising

You agree not to use the platform to advertise, sell, or solicit any products, services, or goods, whether for profit or otherwise, without first obtaining express written permission from Butterfly Delivers. You are also prohibited from soliciting donations or contributions from other users unless explicitly authorized. If you wish to advertise or promote a product or service through the platform, you must contact Butterfly Delivers directly via contact@butterflydelivers.com for further instructions and permissions.

Unlawful Conduct

You must not engage in any activity that is unlawful, harmful, or damaging to Butterfly Delivers, its users, or any other entity. This includes but is not limited to actions that could damage, disrupt, or otherwise interfere with the operation of the platform or its services. This extends to activities that could impair, degrade, or destroy the user experience of others, including the transmission of viruses, malware, or harmful software.

Prohibited Content and Software

You are prohibited from posting, uploading, or distributing any content that contains harmful software, such as viruses, trojans, or other computer files designed to disrupt or limit the functionality of any computer or network resources, including but not limited to the platform itself. You must not upload, post, or transmit any materials that could cause harm or interfere with other users’ access or enjoyment of the platform.

Impersonation and Identity Misrepresentation

You must not impersonate any individual or entity, including any employee or representative of Butterfly Delivers, or otherwise misrepresent your identity or affiliations with any person or organization. This includes using someone else’s username, password, or other account information to access or use their account without authorization. You must not mislead other users or the platform regarding your identity, qualifications, or intent.

Disruption, Harassment, and Anti-Social Behavior

You must refrain from engaging in any disruptive, harmful, or destructive actions while using the platform. This includes but is not limited to "flaming", "spamming", "flooding", "trolling", or "griefing", which are commonly recognized forms of online harassment and antisocial behavior. You are expected to foster a positive, respectful, and constructive community environment.

Discrimination and Harassment

You shall not discriminate, harass, or refuse to provide services to any other users based on race, religion, gender, national origin, disability, sexual orientation, age, marital status, or any other legally protected status. Any verified instances of discrimination or harassment, including refusing to provide or receive goods or services on any unlawful discriminatory basis, may result in the immediate suspension or termination of your access to the platform. Butterfly Delivers reserves the right to take necessary actions to preserve the integrity of the platform and ensure equal treatment for all users.

Modification or Deletion of Platform Content

You agree not to delete, modify, or alter any content on the platform, including legal notices, disclaimers, copyright or trademark symbols, and other proprietary notices, unless you have explicit permission to do so. You are prohibited from altering or tampering with any equipment, software, or networks related to the platform, or any third-party systems hosting or connecting to the platform.

Prohibited Information and Inappropriate Content

You shall not host, display, upload, download, modify, publish, transmit, update, or share any information which:

• Belongs to another person without the necessary rights to use it.
• Is grossly harmful, defamatory, obscene, pornographic, harassing, blasphemous, or otherwise offensive or unlawful under applicable law.
• Promotes illegal activities or behaviors harmful to others, such as terrorism or drug abuse.
• Contains any viruses or software that could harm, disrupt, or disable systems, devices, or the platform itself.

8. Order Booking and Financial Terms

Butterfly Delivers, powered by Gen2k Conglomerate, provides a platform that enables Buyers to place orders for various services and products, including food and grocery delivery, e-commerce items, travel services, home services, and event planning. Upon acceptance of such orders by Merchants or service providers, Butterfly Delivers facilitates the delivery or completion of these tasks through its network of delivery and service partners.

Order Placement and Confirmation

Buyers can place orders for products or services using the Butterfly Delivers platform. These orders are subject to availability, service coverage, and acceptance by Merchants or service providers.

• Order Confirmation: Once an order is successfully placed, it is generally treated as confirmed. Butterfly Delivers may contact Buyers to verify order details, delivery timelines, or pricing information to ensure accuracy and service quality.
• Correct Information: Buyers are encouraged to provide correct and complete details, including contact information, to facilitate smooth communication and fulfillment of their orders.

Role of Butterfly Delivers

Butterfly Delivers does not own or directly sell the products or services offered by Merchants or service providers on the platform. Instead, it acts as an intermediary to facilitate transactions and services.

• Transactional Role: All transactions are conducted directly between Buyers and Merchants or service providers, with Butterfly Delivers acting as a facilitator.

Payment Methods

Payments for orders can be made via various methods, including credit cards, debit cards, net banking, digital wallets, or cash on delivery.

• Collection on Behalf: Payments are collected on behalf of Merchants and service providers. Once payment is made through the platform, the Buyer’s obligation toward the Merchant or service provider is fulfilled.

Pricing and Additional Charges

Pricing is determined solely by Merchants or service providers and may include additional charges.

• Dynamic Pricing: In some cases, dynamic pricing may apply due to factors such as demand, location, or special circumstances. These changes will be reflected in the final cost of the order.
• Platform Fee: A nominal platform fee may be applied to maintain and improve the platform’s functionality.

Communication and Order Updates

Butterfly Delivers may contact Buyers to confirm or update orders, including changes in availability, pricing, or delivery timelines.

• Final Updates: Any updates or modifications communicated to Buyers will be considered final once confirmed.

Delivery and Service Fulfillment

Deliveries and services are carried out by a network of delivery and service partners.

• Buyer Availability: Buyers are requested to be available during the scheduled delivery or service time to avoid delays.
• Variable Charges: Delivery charges or additional surcharges may vary based on distance, demand, or time of delivery. These charges will be clearly communicated during the ordering process.

Limitations and Responsibilities

Merchants and service providers are solely responsible for the quality, warranty, or guarantees of the products or services they offer. Butterfly Delivers does not assume responsibility for these aspects.

Taxes and Billing

Taxes and other applicable charges are determined by the respective Merchant or service provider.

• Billing: The final bill and invoice are generated by the Merchant or service provider and will be shared with the Buyer upon order completion.

Disclaimers

Prices and availability displayed on the platform may occasionally vary due to technical issues or unforeseen circumstances.

• Accuracy: Butterfly Delivers strives to ensure accuracy but cannot guarantee that all prices are final at the time of order.
• Refund Policies: In the event of cancellations or changes, Buyers will be promptly informed, and any applicable refund policies will be followed.

9. Cancellations and Refunds

Please refer to the Cancellation and Refund Policy for cancellation and refunds terms in relation to usage of the Platform for availing Services.

10. No Endorsement

Butterfly Delivers, powered by Gen2k Conglomerate, does not endorse or guarantee the services or products offered by any Merchant or service provider listed on the platform. While we strive to ensure accuracy and reliability in the information provided, Butterfly Delivers does not verify or authenticate the identity or claims of Merchants, service providers, or users of the platform.

Acknowledgment of Risk

By using our services, you acknowledge and accept that your interactions with other users, Merchants, or service providers are at your own discretion and risk.

Responsibility for Interactions

Butterfly Delivers is not responsible for any issues, damages, or outcomes resulting from these interactions.

• User Accountability: If you experience any inconvenience or harm caused by another user, Merchant, or service provider, any action you choose to take should be directed toward the concerned party.
• Facilitation Role: Butterfly Delivers serves solely as a facilitator and cannot be held accountable for disputes or issues arising from third-party actions or decisions.

Encouragement of Caution

Our aim is to provide a reliable and trusted platform, but we encourage all users to exercise caution and judgment while engaging with others on the platform.
